Rustec Affiliate & Referral Programme

General Terms & Conditions

(Sales, Garages, Trade Partners & Creators)

These Terms & Conditions (“Terms”) govern participation in the Rustec Affiliate & Referral Programme (“Programme”), operated by Braydon Elite Ltd trading as Rustec (“Rustec”, “we”, “us”, “our”).

By registering as an affiliate, you (“Affiliate”, “you”, “your”) agree to be bound by these Terms.

1. Eligibility & Scope

1.1 This Programme is open to UK-based businesses and individuals including, but not limited to:

• vehicle sales businesses and dealerships

• garages and vehicle repair businesses

• trade partners

• social media creators and influencers

1.2 These Terms do not apply to MOT inspectors or MOT testing personnel, who are subject to separate, specific terms.

1.3 Rustec reserves the right to accept or reject any affiliate application at its sole discretion.

2. Nature of the Relationship

2.1 Participation in the Programme does not create any partnership, joint venture, employment, agency, or franchise relationship.

2.2 Affiliates act independently and have no authority to bind Rustec, make representations on our behalf, or enter into contracts for us.

2.3 Nothing in these Terms shall be construed as creating an obligation on Rustec to provide work, referrals, or income.

3. Referral Definition

3.1 A “Valid Referral” is a customer who:

• is referred to Rustec by the Affiliate using an approved referral method (e.g. QR code, referral link, or identifier), and

• completes and pays for an eligible Rustec corrosion protection treatment.

3.2 Rustec’s internal systems and records shall be the sole authority for determining whether a referral is valid.

3.3 Rustec reserves the right to reject referrals that are incomplete, duplicated, fraudulent, or otherwise non-compliant.

4. Referral Incentives & Payments

4.1 Subject to these Terms, Rustec offers the following referral incentives:

• £200 for the Affiliate’s first completed booking

• £50 for each completed booking thereafter

• £100 bonus for every 10 completed bookings

4.2 Incentives are payable only for completed and paid treatments.

4.3 Payments are made monthly, in arrears, via bank transfer to the Affiliate’s nominated account.

4.4 Rustec may withhold or reverse payments where:

• a booking is cancelled, refunded, or disputed

• a referral is found to be invalid or non-compliant

• there is suspected abuse or misrepresentation

5. Tax Responsibility

5.1 All referral payments are made gross.

5.2 The Affiliate is solely responsible for:

• declaring income to HMRC

• paying any applicable tax, VAT, or national insurance

5.3 Rustec accepts no liability for the Affiliate’s tax affairs.

6. Conduct & Promotion Rules

6.1 Affiliates must:

• act honestly, fairly, and professionally

• make no misleading or exaggerated claims

• present Rustec services accurately

6.2 Affiliates must not:

• guarantee outcomes, prices, warranties, or vehicle condition

• pressure or mislead customers

• represent themselves as employees or agents of Rustec

• engage in spam, deceptive marketing, or unsolicited messaging

6.3 Social media affiliates must clearly disclose any commercial relationship where required by law (e.g. #ad).

7. No Guarantee of Earnings

7.1 Any earnings examples or estimates are illustrative only.

7.2 Rustec makes no guarantee of:

• referral volume

• income

• conversion rates

7.3 Affiliates acknowledge that results vary and depend on their own actions and circumstances.

8. Intellectual Property & Brand Use

8.1 Rustec grants Affiliates a revocable, non-exclusive, non-transferable licence to use approved Rustec marketing materials solely for Programme participation.

8.2 Affiliates must not:

• modify branding without approval

• create misleading or unapproved materials

• register domains or social accounts using the Rustec name

8.3 Rustec may revoke brand usage rights at any time.

9. Data Protection

9.1 Affiliates must comply with all applicable UK data protection laws.

9.2 Affiliates must not collect, store, or misuse customer data beyond what is strictly necessary for referral purposes.

9.3 Rustec is not responsible for any data handling by Affiliates outside our systems.

10. Suspension & Termination

10.1 Rustec may suspend or terminate an Affiliate’s participation at any time, with or without notice.

10.2 Grounds for termination include (but are not limited to):

• breach of these Terms

• misuse of referral systems

• conduct that risks reputational or legal harm

10.3 Upon termination:

• referral rights cease immediately

• unpaid incentives may be withheld

• brand usage must stop immediately

11. Limitation of Liability

11.1 To the fullest extent permitted by law, Rustec shall not be liable for:

• loss of earnings or opportunity

• indirect or consequential loss

• customer disputes or dissatisfaction

11.2 Rustec’s total liability under these Terms shall not exceed the total referral payments made to the Affiliate in the preceding 12 months.

12. Indemnity

12.1 The Affiliate agrees to indemnify and hold harmless Rustec against any claims, losses, or liabilities arising from:

• the Affiliate’s actions or omissions

• breach of these Terms

• unlawful or misleading promotion

13. Amendments

13.1 Rustec may amend these Terms or the Programme at any time.

13.2 Continued participation constitutes acceptance of any updated Terms.

14. Governing Law

14.1 These Terms are governed by the laws of England and Wales.

14.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
